Role Description

The General Manager Operations is a senior role at the ACA. The role will act as the second in command to the CEO in the operational aspects of the organisation and provide administration, finance and governance support to the ACA Board, team and related committees.
The ACA’s operational requirements include: office facilities, training program, events, conference management, membership services, marketing and communications, advocacy, volunteer support (including technical groups and eight volunteer branches around Australia and New Zealand), governance, finance and team management.
The challenges include diversifying income streams, implementing a new certification scheme, communicating a proposed new association structure, and further developing and enhancing the association’s digital systems.
The General Manager Operations reports to the CEO, will be interacting with the ACA Board and volunteer leadership, and is responsible for team supervision, along with several contractors.

Key Responsibilities:
Operations Management:

• Act as the CEO in their absence, ensuring continuity in leadership.
• Managing People – Experience in current HR practices, and management thinking on engagement and team alignment.
• Supervise and mentor direct reports, ensuring they are aligned with the association’s goals.
• Operations Reporting – Ensure the KPI’s are being recorded and presented to the CEO and Board on a quarterly basis.
• Direct Management Responsibility – initially for the finance, office coordination, HR, administration digital projects, and IT functions of the ACA.
• Financial management and control with reporting to the Board
• Risk management – experience in managing areas of major risk to the organisation.
• Governance – experience with corporate governance requirements and corporate reporting.
• Record Management – oversee the appropriate management of documents and records, including policies and procedures.
• Office Management – including facilities management and OHS and team wellbeing.

Essential Skills and Experience:

• Proven experience in a senior leadership position.
• Organisational leadership and management skills with a demonstrated ability to inspire and motivate staff.
• Financial management and budgeting skills.
• High level written and verbal communication skills including report writing and public presentation skills.
• Good coordinator of people and with established project management skills.
• Familiarity with operating a CRM system.

Desirable Skills and Experience

• Previous experience reporting or engaging with a board.
• Knowledge of a director’s responsibilities – including legal, ethical, fiduciary and financial responsibilities.
• Experience working in science-based or technical industries.
• Experience working in a ‘for purpose’ organisation.
• Supportive of an inclusive, contemporary NFP environment.
• Experience in using Salesforce or similar CRM systems.
This job is a full-time role and is located at the ACA office at 30A Jessie Street Preston for office-based activities.

Position Specific Requirements

Candidates must be Australian Citizen, Permanent Resident, or hold a valid work permit or visa to be eligible to apply.
Appointments will be subject to a satisfactory National Police check.

Salary

A salary of between $130,000 – $145,000 is available plus Superannuation and a bonus scheme. The level of salary will be negotiated based on the experience of the candidate.

Duties and responsibilities

The tasks of the Association (Company) Secretary can be categorised into meetings and minutes, compliance and governance administration.

Meetings and Minutes

The Association (Company) Secretary is responsible for:

  • With the Minutes Secretary, ensuring that all meetings of the Board, the Board Committees and Council are supported in the lead up to, during and after governance meetings;
  • Notifying participants in advance of Board, Committee and Council meetings;
  • Ensuring the agenda and meeting papers are prepared and distributed to Directors, Committee Members and Councillors prior to meetings according to the agreed timeframes;
  • Recording, maintaining and distributing the minutes of all Board, Committee and Council Meetings as required;
  • Maintaining a compete set of Board, Committee and Council papers withing the Board SharePoint;
  • As assigned with the Minutes Secretary, preparing for and attending all annual and extraordinary general meetings of the Association; and
  • Recording, maintaining and distributing the minutes of all governance meetings and finance Committee (FARMC) of the Association.

Compliance
The Association (Company) Secretary is responsible for:

  • Overseeing the Association’s compliance program and ensuring all of the Association’s legislative obligations are met;
  • Development, implementation, communication and maintenance of compliance policies, processes and procedures;
  • Ensuring all requirements of ACNC and SA CBS, and any other regulatory body are fully met; and
  • Providing advice on corporate governance principles.

Governance administration
The Association (Company) Secretary is responsible for:

  • Maintaining the Register of Director Declarations;
  • Maintaining the Register of Association Policies as approved by the Board;
  • Maintaining and updating the Board Charters, Board Code of Conduct and associated governance documentation;
  • Maintaining the Delegations of Authority Schedules
  • Maintaining the Register of Director Appointments and tenures;
  • Maintaining the Register of Committee appointments and tenures;
  • Maintaining the Register of Board actions;
  • Facilitation of Resolutions in Writing;
  • Maintaining the Board SharePoint site;
  • Developing the annual Governance Calendar;
  • Developing the annual Board Meeting Topics plan;
  • Coordination of the annual board self-assessment survey; and
  • Any other services the Chair or the CEO may require.
